Section 1 of Thailand's Foreign Business Act B.E. 2542 (1999) — official title and naming of the Act regulating foreign business operations in Thailand.
Section 2 of the Foreign Business Act — effective date. The FBA came into force on 4 March 2000, 120 days after publication in the Royal Gazette.
Section 3 repeals the Alien Business Law B.E. 2515 (1972) and related announcements, replacing it with the Foreign Business Act B.E. 2542.

Section 23 requires foreigners operating under treaties (e.g., Treaty of Amity) to obtain a Foreign Business Certificate from the Director-General.
Section 24 requires BOI-promoted foreign businesses to obtain a Foreign Business Certificate, enabling 100% foreign ownership in promoted activities.
Section 25 requires foreigners operating within IEAT industrial estates in Thailand to obtain a Foreign Business Certificate under the FBA.
Section 26 sets out the procedure for applying for a Foreign Business Certificate under the FBA, including required documents and the application process.
Section 27 allows authorities to prescribe conditions for Foreign Business Certificates including capital and operational restrictions in Thailand.

Section 30 grants Registrar power to inspect foreign business operations in Thailand for compliance with FBA and license conditions.
Section 31 grants the Registrar power to summon documents and persons for examination to ensure compliance with the Foreign Business Act in Thailand.
Section 32 authorizes the Registrar to enter foreign business premises during business hours for inspection and compliance verification under the FBA.
Section 33 requires licensed foreign businesses in Thailand to submit periodic operational reports to the Registrar as part of FBA compliance obligations.

Section 34 penalizes operating without a Foreign Business License with up to 3 years imprisonment and/or fines of 100,000 to 1,000,000 THB in Thailand.
Section 35 penalizes false statements in Foreign Business Act applications with up to 3 years imprisonment and/or fines up to 100,000 THB in Thailand.
Section 36 penalizes Thai nationals acting as nominees for foreigners with up to 3 years imprisonment and fines of 100,000 to 1,000,000 THB under the FBA.
Section 37 penalizes foreigners using Thai nominees to circumvent FBA with same penalties as Section 36 — up to 3 years and 1M THB.
Section 38 imposes fines up to 500,000 THB for violating FBA License or Certificate conditions. Compliance is mandatory in Thailand.
Section 39 penalizes obstruction of FBA inspections or refusal to comply with summons with up to 1 year imprisonment and/or fines up to 50,000 THB.
Section 40 imposes a fine up to 10,000 THB for failure to display a Foreign Business License or Certificate at the place of business in Thailand.
Section 41 makes directors and responsible persons of a company jointly liable for FBA offenses committed by the juristic person they manage in Thailand.
Section 42 imposes daily fines of 10,000 to 50,000 THB for continuing violations of the Foreign Business Act in Thailand until the breach is remedied.
Sections 43-46: Transitional rules for businesses operating under the prior law. / มาตรา 43-46: บทเฉพาะกาลสำหรับธุรกิจที่ดำเนินการภายใต้กฎหมายเดิม
Section 43 allows businesses lawfully operating under the Alien Business Law B.E. 2515 to continue during the FBA transition period with conditions.
Section 44 requires foreign businesses to apply for new FBA license or certificate within prescribed transitional period in Thailand.
Section 45 preserves existing rights and authorizations granted under the Alien Business Law B.E. 2515 during the transition to the Foreign Business Act.
Section 46 designates the Minister of Commerce as responsible for overseeing the implementation and enforcement of the Foreign Business Act in Thailand.
