การที่ผู้เป็นหุ้นส่วนจำพวกจำกัดความรับผิดตายก็ดี ล้มละลายหรือตกเป็นคนไร้ความสามารถก็ดี หาเป็นเหตุให้ห้างหุ้นส่วนจำกัดต้องเลิกกันไม่ เว้นแต่จะได้มีข้อสัญญากันไว้เป็นอย่างอื่น
