ถ้าที่ประชุมใหญ่ถอนกรรมการผู้หนึ่งออกก่อนครบกาลกำหนดของเขา และตั้งคนอื่นขึ้นไว้แทนที่ไซร้ ท่านว่าบุคคลที่เป็นกรรมการใหม่นั้นให้อยู่ในตำแหน่งได้เพียงเท่ากำหนดเวลาที่กรรมการผู้ถูกถอนนั้นชอบที่จะอยู่ได้มาตรา ๑๑๕๗[68] เมื่อมีการเปลี่ยนแปลงกรรมการ ให้บริษัทนำความไปจดทะเบียนภายในสิบสี่วันนับแต่วันที่มีการเปลี่ยนแปลงมาตรา ๑๑๕๘[69] นอกจากจะมีข้อบังคับของบริษัทไว้เป็นอย่างอื่น กรรมการมีอำนาจตามบทบัญญัติในเจ็ดมาตราต่อไปนี้
