อันสัญญาตัวแทนย่อมระงับสิ้นไปด้วยตัวการถอนตัวแทน หรือด้วยตัวแทนบอกเลิกเป็นตัวแทนอนึ่ง สัญญาตัวแทนย่อมระงับสิ้นไป เมื่อคู่สัญญาฝ่ายใดฝ่ายหนึ่งตาย หรือตกเป็นผู้ไร้ความสามารถ หรือล้มละลาย เว้นแต่จะปรากฏว่าขัดกับข้อสัญญาหรือสภาพแห่งกิจการนั้น
