เมื่อผู้ถือหุ้นในบริษัทมีจำนวนรวมกันไม่น้อยกว่าหนึ่งในห้าของจำนวนหุ้นทั้งหมด ทำเรื่องราวร้องขอไซร้ ให้รัฐมนตรีเจ้าหน้าที่ตั้งผู้ตรวจอันทรงความสามารถ จะเป็นคนเดียวหรือหลายคนก็ตามไปตรวจการงานของบริษัทจำกัดนั้นและทำรายงานยื่นให้ทราบก่อนที่จะตั้งผู้ตรวจเช่นนั้น รัฐมนตรีจะบังคับให้คนทั้งหลายผู้ยื่นเรื่องราววางประกัน เพื่อรับออกเงินค่าใช้สอยในการตรวจนั้นก็ได้
