ผู้ชำระบัญชีทั้งหลายย่อมมีอำนาจดังจะกล่าวต่อไปนี้ คือ(๑) แก้ต่างว่าต่างในนามของห้างหุ้นส่วนหรือบริษัทในอรรถคดีพิพาทอันเป็นแพ่งหรืออาญาทั้งปวง และทำประณีประนอมยอมความ(๒) ดำเนินกิจการของห้างหุ้นส่วนหรือบริษัทตามแต่จำเป็น เพื่อการชำระสะสางกิจการให้เสร็จไปด้วยดี(๓) ขายทรัพย์สินของห้างหุ้นส่วนหรือบริษัท(๔) ทำการอย่างอื่น ๆ ตามแต่จำเป็น เพื่อชำระบัญชีให้เสร็จไปด้วยดี

The liquidators have power: (1) To bring or defend any legal proceeding, civil or criminal, and to make compromise, in the name of the partnership or company. (2) To carry on the business of the partnership or company, as far as may necessary for a beneficial settlement of the affairs. (3) To sell the property of the partnership or company. (4) To do all other acts as may be necessary for a beneficial settlement of the liquidation.
