ผู้ชำระบัญชีทั้งหลายย่อมมีอำนาจดังจะกล่าวต่อไปนี้ คือ (๑) แก้ต่างว่าต่างในนามของห้างหุ้นส่วนหรือบริษัทในอรรถคดีพิพาทอันเป็นแพ่งหรืออาชญาทั้งปวง และทำประนีประนอมยอมความ (๒) ดำเนินกิจการของห้างหุ้นส่วนหรือบริษัทตามแต่จำเป็น เพื่อการชำระสะสางกิจการให้เสร็จไปด้วยดี (๓) ขายทรัพย์สินของห้างหุ้นส่วนหรือบริษัท (๔) ทำการอย่างอื่น ๆ ตามแต่จำเป็น เพื่อชำระบัญชีให้เสร็จไปด้วยดี

Les liquidateurs sont habilités : (1) à intenter ou à défendre toute action en justice, civile ou pénale, et à conclure des accords transactionnels, au nom de la société ; (2) à poursuivre l’activité de la société, dans la mesure nécessaire à un règlement favorable ; (3) à vendre les biens de la société ; (4) à accomplir tout autre acte nécessaire au règlement favorable de la liquidation.
