การที่จะตกลงกันไว้เสียแต่ก่อนเวลาหนี้ถึงกำหนดชำระเป็นข้อความอย่างใดอย่างหนึ่งว่า ถ้าไม่ชำระหนี้ ให้ผู้รับจำนำเข้าเป็นเจ้าของทรัพย์สินจำนำ หรือให้จัดการแก่ทรัพย์สินนั้นเป็นประการอื่นนอกจากตามบทบัญญัติทั้งหลายว่าด้วยการบังคับจำนำนั้นไซร้ ข้อตกลงเช่นนั้นท่านว่าไม่สมบูรณ์
