อันหุ้นส่วนผู้จัดการนั้น จะเอาออกจากตำแหน่งได้ต่อเมื่อผู้เป็นหุ้นส่วนทั้งหลายอื่นยินยอมพร้อมกัน เว้นแต่จะได้ตกลงกันไว้เป็นอย่างอื่น
