การเปลี่ยนตัวผู้แทนของนิติบุคคล หรือการจำกัดหรือแก้ไข เปลี่ยนแปลงอำนาจของผู้แทนของนิติบุคคล ให้มีผลต่อเมื่อได้ปฏิบัติตามกฎหมาย ข้อบังคับหรือตราสารจัดตั้งแล้ว แต่จะยกขึ้นเป็นข้อต่อสู้บุคคลภายนอกผู้กระทำการโดยสุจริตมิได้
