ถ้าเมื่อได้ชำระหนี้ซึ่งค้างชำระแก่บุคคลภายนอกและชดใช้เงินทดรองและค่าใช้จ่ายแล้ว สินทรัพย์ที่ยังอยู่ไม่พอจะคืนแก่ผู้เป็นหุ้นส่วนให้ครบจำนวนที่ลงหุ้นไซร้ ส่วนที่ขาดนี้คือขาดทุน ซึ่งต้องคิดเฉลี่ยช่วยกันขาดส่วนที่ ๕การจดทะเบียนห้างหุ้นส่วนสามัญ
