นั้น ถ้าผู้เป็นหุ้นส่วนนำพิสูจน์ได้ว่า(๑) สินทรัพย์ของห้างหุ้นส่วนยังมีพอที่จะชำระหนี้ได้ทั้งหมดหรือบางส่วน และ(๒) การที่จะบังคับเอาแก่ห้างหุ้นส่วนนั้นไม่เป็นการยากฉะนี้ไซร้ศาลจะบังคับให้เอาสินทรัพย์ของห้างหุ้นส่วนนั้นชำระหนี้ก่อนก็ได้ สุดแต่ศาลจะเห็นสมควร
