ผู้เริ่มก่อการหรือผู้เข้าชื่อซื้อหุ้นจะออกเสียงลงคะแนนไม่ได้ ถ้าตนมีส่วนได้เสียโดยพิเศษในปัญหาที่ยกขึ้นวินิจฉัยนั้นอนึ่ง มติของที่ประชุมตั้งบริษัทย่อมไม่สมบูรณ์ เว้นแต่ที่ประชุมจะได้ลงมติโดยเสียงข้างมาก อันมีคะแนนของผู้เข้าชื่อซื้อหุ้นรวมกันไม่น้อยกว่ากึ่งจำนวนผู้เข้าชื่อซื้อหุ้นทั้งหมดซึ่งมีสิทธิลงคะแนนได้ และคิดตามจำนวนหุ้นรวมกันไม่น้อยกว่ากึ่งจำนวนหุ้นของผู้ถือหุ้นนั้น ๆ ทั้งหมดด้วยกัน

A promoter or a subscriber who has a special interest in a resolution cannot exercise the right of voting. No resolution of the statutory meeting are valid unless passed by a majority including at least one half of the total number of subscribers entitled to vote, and representing at least one half of the total number of shares of such subscribers.
