ผู้เริ่มก่อการบริษัทต้องรับผิดร่วมกันและโดยไม่จำกัด ในบรรดาหนี้และการจ่ายเงินซึ่งที่ประชุมตั้งบริษัทมิได้อนุมัติ และแม้จะได้มีอนุมัติก็ยังคงต้องรับผิดอยู่เช่นนั้นไปจนกว่าจะได้จดทะเบียนบริษัท
