กรรมการจะมอบอำนาจอย่างหนึ่งอย่างใดของตนให้แก่ผู้จัดการ หรือให้แก่อนุกรรมการซึ่งตั้งขึ้นจากผู้ที่เป็นกรรมการด้วยกันก็ได้ ในการใช้อำนาจซึ่งได้มอบหมายเช่นนั้น ผู้จัดการทุกคนหรืออนุกรรมการทุกคนต้องทำตามคำสั่งหรือข้อบังคับซึ่งกรรมการทั้งหลายได้กำหนดให้ทุกอย่างทุกประการ
