บุคคลซึ่งเป็นกรรมการของบริษัทจำกัดจะรับผิดโดยไม่จำกัดก็ได้ ถ้ากรณีเป็นเช่นนั้นไซร้ ท่านว่าต้องจดแถลงความรับผิดเช่นนั้นลงไว้ในหนังสือบริคณห์สนธิด้วยอันความรับผิดโดยไม่จำกัดของผู้เป็นกรรมการนั้น ย่อมถึงที่สุดเมื่อล่วงเวลาสองปีนับแต่วันที่ตัวเขาออกจากตำแหน่งกรรมการมาตรา ๑๑๐๒[56] ห้ามมิให้ชี้ชวนประชาชนให้ซื้อหุ้นมาตรา ๑๑๐๓[57] (ยกเลิก)

The liability of the directors of a limited company may be unlimited. In such case, a statement to that effect must be inserted in the memorandum. The unlimited liability of a director terminates at the expiration of two years after the date at which he ceased to hold office.
