บริษัทจำกัดต้องมีสมุดทะเบียนผู้ถือหุ้น มีรายการดั่งต่อไปนี้ คือ(๑) ชื่อและสำนัก กับอาชีวะ ถ้าว่ามี ของผู้ถือหุ้น ข้อแถลงเรื่องหุ้นของผู้ถือหุ้นคนหนึ่ง ๆ แยกหุ้นออกตามเลขหมายและจำนวนเงินที่ได้ใช้แล้วหรือที่ได้ตกลงกันให้ถือว่าเป็นอันได้ใช้แล้วในหุ้นของผู้ถือหุ้นคนหนึ่ง ๆ(๒) วันเดือนปีซึ่งได้ลงทะเบียนบุคคลผู้หนึ่ง ๆ เป็นผู้ถือหุ้น(๓) วันเดือนปีซึ่งบุคคลคนใดคนหนึ่งขาดจากเป็นผู้ถือหุ้น(๔) เลขหมายใบหุ้นและวันที่ลงในใบหุ้นชนิดออกให้แก่ผู้ถือ และเลขหมายของหุ้นซึ่งได้ลงไว้ในใบหุ้นนั้น ๆ(๕) วันที่ได้ขีดฆ่าใบหุ้นชนิดระบุชื่อ หรือชนิดออกให้แก่ผู้ถือ

Every limited company must keep a register of shareholders containing the following particulars: (1) The names and addresses, and occupations, if any, of the shareholders, a statement of the shares held by each shareholder, distinguishing each share by its number, and of the amount paid or agreed to be considered as paid on the shares of each shareholder . (2) The date at which each person was entered in the register as a shareholder . (3) The date at which each shareholder ceased to be a shareholder. (4) The numbers and date of certificates issued to bearer, and the respective numbers of shares entered in each such certificate.
