ในเมื่อมีการประชุมสามัญครั้งแรกภายหลังแต่จดทะเบียนบริษัทก็ดี และในเมื่อมีการประชุมสามัญครั้งแรกในปีทุก ๆ ปีต่อไปก็ดี ผู้เป็นกรรมการต้องออกจากตำแหน่งโดยจำนวนหนึ่งในสามเป็นอัตรา ถ้าและจำนวนกรรมการจะแบ่งออกให้ตรงเป็นส่วนสามไม่ได้ ก็ให้ออกโดยจำนวนใกล้ที่สุดกับส่วนหนึ่งในสาม
