บริษัทจำกัดจะออกหุ้นใหม่ให้เหมือนหนึ่งว่าได้ใช้เต็มค่าแล้ว หรือได้ใช้แต่บางส่วนแล้วด้วยอย่างอื่นนอกจากให้ใช้เป็นตัวเงินนั้นไม่ได้ เว้นแต่จะทำตามมติพิเศษของประชุมผู้ถือหุ้นมาตรา ๑๒๒๒[78] บรรดาหุ้นที่ออกใหม่นั้น ต้องเสนอให้แก่ผู้ถือหุ้นทั้งหลายตามส่วนจำนวนหุ้นซึ่งเขาถืออยู่ คำเสนอเช่นนี้ ต้องทำเป็นหนังสือบอกกล่าวไปยังผู้ถือหุ้นทุก ๆ คนระบุจำนวนหุ้นให้ทราบว่าผู้นั้นชอบที่จะซื้อได้กี่หุ้น และให้กำหนดวันว่าถ้าพ้นวันนั้นไปมิได้มีคำสนองมาแล้วจะถือว่าเป็นอันไม่รับซื้อ เมื่อวันที่กำหนดล่วงไปแล้วก็ดี หรือผู้ถือหุ้นได้บอกมาว่าไม่รับซื้อหุ้นนั้นก็ดีกรรมการจะเอาหุ้นเช่นนั้นขายให้แก่ผู้ถือหุ้นคนอื่นหรือจะรับซื้อไว้เองก็ได้ มาตรา ๑๒๒๓[79] หนังสือบอกกล่าวที่เสนอให้ผู้ถือหุ้นซื้อหุ้นใหม่นั้น ต้องลงวันเดือนปีและลายมือชื่อของกรรมการ
