บริษัทจำกัดจะออกหุ้นใหม่ให้เหมือนหนึ่งว่าได้ใช้เต็มค่าแล้ว หรือได้ใช้แต่บางส่วนแล้วด้วยอย่างอื่นนอกจากให้ใช้เป็นตัวเงินนั้นไม่ได้ เว้นแต่จะทำตามมติพิเศษของประชุมผู้ถือหุ้น
