กิจการอันจะพึงทำในที่ประชุมตั้งบริษัทนั้น คือ(๑) ทำความตกลงตั้งข้อบังคับต่าง ๆ ของบริษัท ทั้งนี้ ควรกำหนดวิธีการแก้ไขปัญหาหรือข้อขัดแย้งที่ไม่สามารถหาข้อยุติหรือไม่สามารถลงมติระหว่างกรรมการหรือผู้ถือหุ้นไว้ด้วย(๒) ให้สัตยาบันแก่บรรดาสัญญาซึ่งผู้เริ่มก่อการได้ทำไว้และค่าใช้จ่ายอย่างหนึ่งอย่างใดซึ่งเขาต้องออกไปในการเริ่มก่อบริษัท(๓) วางกำหนดจำนวนเงินซึ่งจะให้แก่ผู้เริ่มก่อการ ถ้าหากมีเจตนาว่าจะให้(๔) วางกำหนดจำนวนหุ้นบุริมสิทธิ ทั้งกำหนดสภาพและบุริมสิทธิแห่งหุ้นนั้น ๆ ว่าเป็นสถานใดเพียงใด ถ้าหากจะมีหุ้นเช่นนั้นในบริษัท(๕) วางกำหนดจำนวนหุ้นสามัญ หรือหุ้นบุริมสิทธิซึ่งออกให้เหมือนหนึ่งว่าได้ใช้เต็มค่าแล้วหรือได้ใช้แต่บางส่วนแล้ว เพราะใช้ให้ด้วยอย่างอื่นนอกจากตัวเงิน และกำหนดว่าเพียงใดซึ่งจะถือเอาเป็นว่าได้ใช้เงินแล้ว ถ้าหากจะมีหุ้นเช่นนั้นในบริษัทให้แถลงในที่ประชุมโดยเฉพาะว่า ซึ่งจะออกหุ้นสามัญหรือหุ้นบุริมสิทธิให้เหมือนหนึ่งว่าได้ใช้เงินแล้วเช่นนั้น เพื่อแทนคุณแรงงานหรือตอบแทนทรัพย์สินอย่างใด ให้พรรณนาจงชัดเจนทุกประการ(๖) เลือกตั้งกรรมการและพนักงานสอบบัญชีอันเป็นชุดแรกของบริษัท และวางกำหนดอำนาจของคนเหล่านี้ด้วย

English translation
The business to be transacted at the statutory meeting: (1) The adoption of the regulations of the company, if any. (2) The ratification of any contracts entered into and any expenses incurred by the promoters in promoting the company. (3) The fixing of the amount, if any, to be paid to the promoters. (4) The fixing of the number of preference shares, if any, to be issued, and the nature and extent of the preferential rights accruing to them. (5) The fixing of the number of ordinary shares or preference shares to be allotted as fully or partly paid-up otherwise than in money, if any, and the amount up to which they shall be considered as paid-up. The description of the service or property in return for which such ordinary shares or preference shares shall be allotted as paid-up shall be expressly laid down before the meeting. (6) The appointment of the first directors and auditors and the fixing of their respective powers.
