บรรดาหุ้นที่ออกใหม่นั้น ต้องเสนอให้แก่ผู้ถือหุ้นทั้งหลายตามส่วนจำนวนหุ้นซึ่งเขาถืออยู่ คำเสนอเช่นนี้ ต้องทำเป็นหนังสือบอกกล่าวไปยังผู้ถือหุ้นทุก ๆ คน ระบุจำนวนหุ้นให้ทราบว่าผู้นั้นชอบที่จะซื้อได้กี่หุ้น และให้กำหนดวันว่าถ้าพ้นวันนั้นไปมิได้มีคำสนองมาแล้วจะถือว่าเป็นอันไม่รับซื้อ เมื่อวันที่กำหนดล่วงไปแล้วก็ดี หรือผู้ถือหุ้นได้บอกมาว่าไม่รับซื้อหุ้นนั้นก็ดี กรรมการจะเอาหุ้นเช่นนั้นขายให้แก่ผู้ถือหุ้นคนอื่นหรือจะรับซื้อไว้เองก็ได้

Toutes les nouvelles actions doivent être offertes aux actionnaires au prorata de leurs participations. Cette offre doit être faite par notification précisant le nombre d'actions auxquelles l'actionnaire a droit et fixant une date limite après laquelle, si l'offre n'est pas acceptée, elle sera réputée refusée. Après cette date ou dès réception d'une notification de refus de l'actionnaire, le directeur peut proposer ces actions à la souscription d'autres actionnaires ou les souscrire lui-même.
