บรรดาหุ้นที่ออกใหม่นั้น ต้องเสนอให้แก่ผู้ถือหุ้นทั้งหลายตามส่วนจำนวนหุ้นซึ่งเขาถืออยู่ คำเสนอเช่นนี้ ต้องทำเป็นหนังสือบอกกล่าวไปยังผู้ถือหุ้นทุก ๆ คน ระบุจำนวนหุ้นให้ทราบว่าผู้นั้นชอบที่จะซื้อได้กี่หุ้น และให้กำหนดวันว่าถ้าพ้นวันนั้นไปมิได้มีคำสนองมาแล้วจะถือว่าเป็นอันไม่รับซื้อ เมื่อวันที่กำหนดล่วงไปแล้วก็ดี หรือผู้ถือหุ้นได้บอกมาว่าไม่รับซื้อหุ้นนั้นก็ดี กรรมการจะเอาหุ้นเช่นนั้นขายให้แก่ผู้ถือหุ้นคนอื่นหรือจะรับซื้อไว้เองก็ได้

English translation
All new shares must be offered to the shareholders in proportion to the shares held by them. Such offer must be made by notice specifying the number of shares to which the shareholder is entitled, and fixing a date after which the offer, if not accepted, shall be deemed to be declined. After such date or on the receipt of an intimation from the shareholder that he declined to accept the shares offered, the director may offer such shares for subscription to other shareholders or may subscribe the shares to himself.
