ตัวแทนนั้น เมื่อไม่ได้รับความยินยอมของตัวการ จะเข้าทำนิติกรรมอันใดในนามของตัวการทำกับตนเองในนามของตนเองหรือในฐานเป็นตัวแทนของบุคคลภายนอกหาได้ไม่ เว้นแต่นิติกรรมนั้นมีเฉพาะแต่การชำระหนี้
