ถ้าเบี้ยปรับที่ริบนั้นสูงเกินส่วน ศาลจะลดลงเป็นจำนวนพอสมควรก็ได้ ในการที่จะวินิจฉัยว่าสมควรเพียงใดนั้น ท่านให้พิเคราะห์ถึงทางได้เสียของเจ้าหนี้ทุกอย่างอันชอบด้วยกฎหมาย ไม่ใช่แต่เพียงทางได้เสียในเชิงทรัพย์สิน เมื่อได้ใช้เงินตามเบี้ยปรับแล้ว สิทธิเรียกร้องขอลดก็เป็นอันขาดไป นอกจากกรณีที่กล่าวไว้ในมาตรา ๓๗๙ และ ๓๘๒ ท่านให้ใช้วิธีเดียวกันนี้บังคับ ในเมื่อบุคคลสัญญาว่าจะให้เบี้ยปรับเมื่อตนกระทำหรืองดเว้นกระทำการอันหนึ่งอันใดนั้นด้วย

If the penalty forfeited is disproportionately high, the court may reduce it to a reasonable amount. In deciding what is reasonable, every legitimate interest of the creditor shall be taken into account, not merely the creditor's proprietary interest.
Once the penalty has been paid, the right to claim a reduction is extinguished.
Apart from the cases mentioned in Section 379 and Section 382, the same rule applies where a person promises to pay a penalty if that person does, or refrains from doing, some act.
