เมื่อได้ชำระบัญชีแล้ว ถ้ามีทรัพย์สินเหลืออยู่เท่าใด จะแบ่งให้แก่สมาชิกของสมาคมนั้นไม่ได้ ทรัพย์สินที่เหลือนั้นจะต้องโอนให้แก่สมาคมหรือมูลนิธิ หรือนิติบุคคลที่มีวัตถุประสงค์เกี่ยวกับการสาธารณกุศล ตามที่ได้ระบุชื่อไว้ในข้อบังคับของสมาคม หรือถ้าข้อบังคับไม่ได้ระบุชื่อไว้ก็ให้เป็นไปตามมติของที่ประชุมใหญ่ แต่ถ้าข้อบังคับของสมาคมหรือที่ประชุมใหญ่มิได้ระบุผู้รับโอนทรัพย์สินดังกล่าวไว้ หรือระบุไว้แต่ไม่สามารถปฏิบัติได้ ให้ทรัพย์สินที่เหลืออยู่นั้นตกเป็นของแผ่นดิน

English translation
After liquidation, the remaining assets, if any, cannot be distributed among the members of the association. They shall be transferred to such other association or foundation, or any juristic person whose object is of charity purposes as may be designated in the regulations or, if the regulations designate none, by the resolution of the association in general meeting. If no transferee of the said assets has been designated, by the regulations or by the resolution of association in general meeting, or if designated but it is unable to comply therewith, the remaining assets shall belong to the State.
