ถ้าลูกหนี้ขัดขืนไม่ยอมใช้สิทธิเรียกร้องหรือเพิกเฉยเสียไม่ใช้สิทธิเรียกร้อง เป็นเหตุให้เจ้าหนี้ต้องเสียประโยชน์ไซร้ ท่านว่าเจ้าหนี้จะใช้สิทธิเรียกร้องนั้นในนามของตนเองแทนลูกหนี้เพื่อป้องกันสิทธิของตนในมูลหนี้นั้นก็ได้ เว้นแต่ในข้อที่เป็นการของลูกหนี้ส่วนตัวโดยแท้

English translation
If, to the prejudice of the creditor, the debtor refuses or neglects to exercise a claim the creditor may, in order to protect his obligation, exercise such claim in his own name of behalf of the debtor, except those which are purely personal to the debtor.
