ถ้าจำนำใบหุ้น หรือใบหุ้นกู้ชนิดระบุชื่อ ท่านห้ามมิให้ยกขึ้นเป็นข้อต่อสู้บริษัทหรือบุคคลภายนอก เว้นแต่จะได้จดลงทะเบียนการจำนำนั้นไว้ในสมุดของบริษัทตามบทบัญญัติทั้งหลายในลักษณะ ๒๒ ว่าด้วยการโอนหุ้นหรือหุ้นกู้
