ถ้าตั๋วเงินได้ทำขึ้นหรือได้โอนหรือสลักหลังไปแล้วในมูลหนี้อันหนึ่งอันใด และสิทธิตามตั๋วเงินนั้นมาสูญสิ้นไปเพราะอายุความก็ดี หรือเพราะละเว้นไม่ดำเนินการให้ต้องตามวิธีใด ๆ อันจะพึงต้องทำก็ดี ท่านว่าหนี้เดิมนั้นก็ยังคงมีอยู่ตามหลักกฎหมายอันแพร่หลายทั่วไป เท่าที่ลูกหนี้มิได้ต้องเสียหายแต่การนั้น เว้นแต่จะได้ตกลงกันไว้เป็นอย่างอื่น

English translation
Where a bill has been made, transferred or endorsed in respect of an obligation, and the rights on the bill are lost by prescription or by failure to take the required steps, the original obligation nevertheless subsists under the general principles of law, so far as the debtor has not been prejudiced thereby, unless otherwise agreed.
