ผู้เป็นหุ้นส่วนก็ดี ห้างหุ้นส่วนก็ดี หรือบริษัทก็ดี จะถือเอาประโยชน์แก่บุคคลภายนอกเพราะเหตุที่มีสัญญาหรือเอกสาร หรือข้อความอันบังคับให้จดทะเบียนตามลักษณะนี้ยังไม่ได้ จนกว่าจะได้จดทะเบียนแล้ว แต่ฝ่ายบุคคลภายนอกจะถือเอาประโยชน์เช่นว่านั้นได้ แต่ถึงกระนั้นก็ดี ผู้เป็นหุ้นส่วน ผู้ถือหุ้น ห้างหุ้นส่วน หรือบริษัทซึ่งได้รับชำระหนี้ก่อนจดทะเบียนนั้นย่อมไม่จำต้องคืน

English translation
Until registration has been made, no advantage may be taken by the partners, the partnership or the company against third persons of the existence of the agreements, documents or particulars required by this Title to be registered, but third persons may take advantage of such existence. However, partners, shareholders, a partnership or a company that received performance of an obligation before registration are not bound to return it.
