Aucun associé ne peut, ni pour son propre compte ni pour le compte d'un tiers, exercer, sans le consentement des autres associés, une activité de même nature et concurrente à celle de la société. Si un associé contrevient aux dispositions du présent article, les autres associés sont en droit de réclamer à son encontre la totalité des bénéfices réalisés ou une indemnisation pour le préjudice subi par la société, mais cette réclamation ne peut être formulée plus d'un an après la date de l'infraction.
