หุ้นส่วนผู้จัดการคนใดจะลาออกจากตำแหน่ง ให้ยื่นใบลาออกต่อหุ้นส่วนผู้จัดการคนหนึ่งคนใด การลาออกมีผลนับแต่วันที่ใบลาออกไปถึงหุ้นส่วนผู้จัดการอื่นนั้น ในกรณีที่ห้างหุ้นส่วนจำกัดมีหุ้นส่วนผู้จัดการคนเดียว ให้หุ้นส่วนผู้จัดการที่จะลาออกจากตำแหน่งแจ้งเป็นหนังสือให้ผู้เป็นหุ้นส่วนคนหนึ่งคนใดทราบเพื่อนัดประชุมและพิจารณาตั้งหุ้นส่วนผู้จัดการคนใหม่ พร้อมกับแนบใบลาออกไปด้วย การลาออกมีผลนับแต่วันที่ใบลาออกไปถึงหุ้นส่วนผู้นั้น หุ้นส่วนผู้จัดการซึ่งลาออกตามวรรคหนึ่งหรือวรรคสอง จะแจ้งการลาออกของตนให้นายทะเบียนทราบด้วยก็ได้

Un associé gérant souhaitant démissionner doit remettre sa lettre de démission à l'un des autres associés gérants. La démission prend effet à la date de réception de la lettre. Si la société en commandite ne compte qu'un seul associé gérant, celui-ci doit en informer par écrit l'un des autres associés, en joignant sa lettre de démission, afin qu'une réunion puisse être organisée en vue de la nomination d'un nouvel associé gérant. La démission prend également effet à la date de réception de la lettre. L'associé gérant ayant démissionné conformément aux paragraphes un ou deux ci-dessus peut notifier sa démission au greffier.
