อันห้างหุ้นส่วนจำกัดนั้น ท่านบังคับว่าต้องจดทะเบียน การลงทะเบียนนั้น ต้องมีรายการดังต่อไปนี้ คือ (๑) ชื่อห้างหุ้นส่วน (๒) ข้อแถลงความว่าเป็นห้างหุ้นส่วนจำกัด และวัตถุที่ประสงค์ของห้างหุ้นส่วนนั้น (๓) ที่ตั้งสำนักงานแห่งใหญ่และสำนักงานสาขาทั้งปวง (๔) ชื่อ ยี่ห้อ สำนัก และอาชีวะของผู้เป็นหุ้นส่วนจำพวกจำกัดความรับผิด และจำนวนเงินซึ่งเขาเหล่านั้นได้ลงหุ้นด้วยในห้างหุ้นส่วน (๕) ชื่อ ยี่ห้อ สำนัก และอาชีวะของผู้เป็นหุ้นส่วนจำพวกไม่จำกัดความรับผิด (๖) ชื่อหุ้นส่วนผู้จัดการ (๗) ถ้ามีข้อจำกัดอำนาจหุ้นส่วนผู้จัดการอันจะผูกพันห้างหุ้นส่วนนั้นประการใดให้ลงไว้ด้วย ข้อความซึ่งลงทะเบียนนั้น จะลงรายการอื่น ๆ อีกอันคู่สัญญาเห็นสมควรจะให้ประชาชนทราบด้วยก็ได้ การลงทะเบียนนั้น ต้องลงลายมือชื่อของผู้เป็นหุ้นส่วนทุกคน และต้องประทับตราของห้างหุ้นส่วนนั้นด้วย ให้พนักงานทะเบียนทำใบสำคัญแสดงการจดทะเบียนส่งมอบให้แก่ห้างหุ้นส่วนนั้นฉบับหนึ่ง

English translation
A limited partnership must be registered. The entry in the register must contain the following particulars: (1) The firm name of the partnership (2) A statement that the partnership is a limited partnership, and the object of such partnership. (3) The address of the principal business office and of all branch offices. (4) The full names, trade names, addresses and occupations of the partners with limited liability, and the amount of their respective contributions of the partnership. (5) The full names, trade names, addresses and occupations of the partners with unlimited liability. (6) The names of the managing partners. (7) The restrictions, if any, imposed upon the posers of the managing partners to bind the partnership. The entry may contain any other particulars which the parties may deem expedient to made known to the public. The entry must be signed by every member of the partnership, and must also be sealed with the common seal of the partnership. A certificate of registration shall be delivered to the partnership.
