อันห้างหุ้นส่วนจำกัดนั้น ถ้ายังมิได้จดทะเบียนอยู่ตราบใดท่านให้ถือว่าเป็นห้างหุ้นส่วนสามัญซึ่งผู้เป็นหุ้นส่วนทั้งหมดย่อมต้องรับผิดร่วมกันในบรรดาหนี้ของห้างหุ้นส่วนโดยไม่มีจำกัดจำนวน จนกว่าจะได้จดทะเบียน
