การประชุมกรรมการอาจดำเนินการโดยการติดต่อสื่อสารด้วยเทคโนโลยีอย่างหนึ่งอย่างใด โดยกรรมการไม่จำเป็นต้องปรากฏตัวในที่ประชุมก็ได้ เว้นแต่ข้อบังคับของบริษัทจะกำหนดห้ามไว้
การประชุมกรรมการโดยการติดต่อสื่อสารด้วยเทคโนโลยีตามวรรคหนึ่ง ให้เป็นไปตามกฎหมายว่าด้วยการประชุมผ่านสื่ออิเล็กทรอนิกส์
ให้ถือว่ากรรมการซึ่งใช้การติดต่อสื่อสารตามวรรคหนึ่งได้เข้าร่วมประชุมกรรมการ และให้นับเป็นองค์ประชุมและมีสิทธิออกเสียงในการประชุมด้วย

English translation
A meeting of directors may be conducted by means of any technology for communication, and the directors need not be present in person at the meeting, unless the regulations of the company prohibit it.
A meeting of directors conducted by means of technology for communication under paragraph one is governed by the law on meetings by electronic means.
A director who uses the means of communication under paragraph one is deemed to have attended the meeting of directors, shall be counted in the quorum and is entitled to vote at the meeting.
