ในการประชุมใหญ่ใด ๆ เมื่อผู้เป็นประธานแสดงว่ามติอันใดนับคะแนนชูมือเป็นอันว่าได้หรือตกก็ดี และได้จดลงไว้ในสมุดรายงานประชุมของบริษัทดังนั้นแล้ว ท่านให้ถือเป็นหลักฐานเพียงพอที่จะฟังได้ตามนั้นถ้ามีผู้ติดใจร้องขอให้ลงคะแนนลับไซร้ ท่านให้ถือว่าผลแห่งคะแนนลับนั้นเป็นมติของที่ประชุม

English translation
At any general meeting, a declaration by the chairman that a resolution has on a show of hands, been passed or lost, and an entry to that effect in the books of the proceedings of the company shall be sufficient evidence of the fact. If a poll is demanded, the result of the poll shall be deemed to be the resolution of the meeting.
