ห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดที่มีผู้เป็นหุ้นส่วนตั้งแต่สามคนขึ้นไปอาจแปรสภาพเป็นบริษัทจำกัดได้ โดยความยินยอมของผู้เป็นหุ้นส่วนทุกคนและดำเนินการ ดังต่อไปนี้ (๑) แจ้งความยินยอมของผู้เป็นหุ้นส่วนที่จะให้แปรสภาพห้างหุ้นส่วนเป็นบริษัทจำกัดเป็นหนังสือต่อนายทะเบียนภายในสิบสี่วันนับแต่วันที่ผู้เป็นหุ้นส่วนทุกคนให้ความยินยอม (๒) ประกาศโฆษณาในหนังสือพิมพ์แห่งท้องที่อย่างน้อยหนึ่งคราว และมีหนังสือบอกกล่าวไปยังบรรดาผู้ซึ่งรู้ว่าเป็นเจ้าหนี้ของห้างหุ้นส่วนบอกให้ทราบรายการที่ประสงค์จะแปรสภาพห้างหุ้นส่วนเป็นบริษัท และขอให้เจ้าหนี้ผู้มีข้อคัดค้านอย่างหนึ่งอย่างใดในการแปรสภาพเป็นบริษัทจำกัดนั้น ส่งคำคัดค้านไปภายในสามสิบวันนับแต่วันที่บอกกล่าวนั้น ถ้ามีการคัดค้าน ห้างหุ้นส่วนนั้นจะแปรสภาพมิได้จนกว่าจะได้ชำระหนี้หรือให้ประกันเพื่อหนี้นั้นแล้ว

A registered ordinary partnership or a limited partnership having three or more partners may be converted into a limited company with the consent of every partner, by taking the following steps:
(1) notifying the registrar in writing of the partners' consent to the conversion of the partnership into a limited company, within fourteen days from the day on which all the partners gave their consent;
(2) publishing a notice at least once in a local newspaper, and sending written notice to every person known to be a creditor of the partnership, informing them of the particulars of the intended conversion and inviting any creditor who objects to the conversion to send the objection within thirty days from the date of that notice.
If an objection is made, the partnership may not be converted until the debt has been paid or security for it has been given.
