กรรมการคนใดจะลาออกจากตำแหน่ง ให้ยื่นใบลาออกต่อบริษัท การลาออกมีผลนับแต่วันที่ใบลาออกไปถึงบริษัท กรรมการซึ่งลาออกตามวรรคหนึ่ง จะแจ้งการลาออกของตนให้นายทะเบียนทราบด้วยก็ได้

A director wishing to resign from office must tender a letter of resignation to the company. The resignation takes effect from the day the letter reaches the company.
A director who resigns under paragraph one may also notify the registrar of his resignation.
