ตัวกรรมการที่จะต้องออกจากตำแหน่งในปีแรกและปีที่สองภายหลังจดทะเบียนบริษัทนั้น ถ้ากรรมการมิได้ตกลงกันไว้เองเป็นวิธีอื่นไซร้ ก็ให้จับสลากกัน ส่วนปีหลัง ๆ ต่อไปให้กรรมการคนที่ได้อยู่ในตำแหน่งนานที่สุดนั้นเป็นผู้ต้องออก กรรมการผู้ออกไปนั้นจะเลือกเข้ารับตำแหน่งอีกก็ได้

English translation
As regards the directors who are to retire in the first and second years after the registration of the company, if the directors have not agreed on another method, they must draw lots. In subsequent years, the director who has been longest in office must retire. A retiring director is eligible for re-election.
