เมื่อการซึ่งกรรมการคนใดได้ทำไปได้รับอนุมัติของที่ประชุมใหญ่แล้ว ท่านว่ากรรมการคนนั้นไม่ต้องรับผิดในการนั้นต่อผู้ถือหุ้นซึ่งได้ให้อนุมัติหรือต่อบริษัทอีกต่อไปท่านห้ามมิให้ผู้ถือหุ้นซึ่งมิได้ให้อนุมัติด้วยนั้นฟ้องคดีเมื่อพ้นเวลาหกเดือนนับแต่วันที่ประชุมใหญ่ให้อนุมัติแก่การเช่นว่านั้น๓. ประชุมใหญ่

English translation
When the acts of a director have been approved by a general meeting, such director is no longer liable for the said acts to the shareholders who have approved them, or to the company. Shareholders who did not approve of such acts cannot enter their action later than six months after the date of the general meeting on which such acts were approved. 3.
