เมื่อมีมติพิเศษให้ควบรวมบริษัทแล้ว แต่มีผู้ถือหุ้นที่เข้าร่วมประชุมคัดค้านการควบรวมบริษัท บริษัทต้องจัดให้มีผู้ซื้อหุ้นของผู้ถือหุ้นดังกล่าวในราคาที่ตกลงกัน หรือในกรณีที่ไม่สามารถตกลงกันได้ให้ใช้ราคาตามที่ผู้ประเมินราคาเป็นผู้กำหนด ถ้าผู้ถือหุ้นนั้นไม่ยอมขายภายในสิบสี่วันนับแต่วันที่ได้รับคำเสนอขอซื้อ ให้บริษัทดำเนินการควบรวมบริษัทต่อไปได้ และให้ถือว่าผู้ถือหุ้นดังกล่าวนั้นเป็นผู้ถือหุ้นของบริษัทที่ควบรวม
การแต่งตั้งผู้ประเมินราคาตามวรรคหนึ่งให้เป็นไปตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่กำหนดในกฎกระทรวง

Where a special resolution to amalgamate has been passed but a shareholder who attended the meeting objects to the amalgamation, the company must arrange for a purchaser of that shareholder's shares at the price agreed, or, where no agreement can be reached, at the price fixed by an appraiser. If that shareholder does not agree to sell within fourteen days from receipt of the offer to purchase, the company may proceed with the amalgamation, and that shareholder is deemed to be a shareholder of the amalgamated company.
The appointment of an appraiser under paragraph one shall be in accordance with the rules, procedure and conditions prescribed by ministerial regulation.
