สมุดทะเบียนผู้ถือหุ้นเริ่มแต่วันจดทะเบียนบริษัทนั้นให้รักษาไว้ ณ สำนักงานของบริษัทแห่งที่ได้บอกทะเบียนไว้ สมุดทะเบียนนี้ให้เปิดให้แก่ผู้ถือหุ้นทั้งหลายดูได้ในระหว่างเวลาทำการโดยไม่เรียกค่าธรรมเนียมอย่างหนึ่งอย่างใด แต่กรรมการจะจำกัดเวลาลงไว้อย่างไรพอสมควรก็ได้ หากไม่น้อยกว่าวันละสองชั่วโมง ให้เป็นหน้าที่ของกรรมการที่จะส่งสำเนาบัญชีรายชื่อผู้ที่ยังคงเป็นผู้ถือหุ้นอยู่ทั้งหมดในเวลาที่ประชุม และรายชื่อผู้ที่ขาดจากเป็นผู้ถือหุ้นจำเดิมแต่วันประชุมสามัญครั้งที่แล้วมานั้น ไปยังนายทะเบียนอย่างน้อยปีละครั้ง และมิให้ช้ากว่าวันที่สิบสี่นับแต่การประชุมสามัญ บัญชีรายชื่อนี้ให้มีรายการบรรดาที่ระบุไว้ในมาตราก่อนนั้นทุกประการ

Le registre des actionnaires, établi à compter de la date d'immatriculation de la société, est tenu au siège social de celle-ci. Il est accessible gratuitement aux actionnaires pour consultation, pendant les heures ouvrables, sous réserve des restrictions raisonnables que peuvent imposer les administrateurs, et au moins pendant deux heures par jour. Les administrateurs sont tenus de transmettre au greffier au moins une fois par an, et au plus tard le quatorzième jour suivant l'assemblée générale ordinaire, une copie de la liste de tous les actionnaires présents à la date de cette assemblée, ainsi que celle des actionnaires ayant cessé de l'être depuis la dernière assemblée générale ordinaire. Cette liste doit comporter toutes les informations mentionnées dans la section précédente.
