In the case of an equality of votes, whether on a show of hands or on a poll, the chairman of the meeting shall be netitled to a second or casting vote. ection 1194 * Any resolution to carry out a business required by law to be passed as a special resolution shall be passed by a majority of not less than three-fourths of the votes of the present shareholders who are eligible to vote.
