การใดที่กฎหมายกำหนดให้ต้องทำโดยมติพิเศษ ที่ประชุมใหญ่ต้องลงมติในเรื่องนั้นโดยคะแนนเสียงข้างมากไม่ต่ำกว่าสามในสี่ของจำนวนเสียงทั้งหมดของผู้ถือหุ้นที่มาประชุมและมีสิทธิออกเสียงลงคะแนน

English translation
Where the law requires an act to be done by special resolution, the general meeting must pass the resolution by a majority of not less than three quarters of the total votes of the shareholders present and entitled to vote.
