เมื่อบริษัทประสงค์จะลดทุน ต้องโฆษณาความประสงค์นั้นในหนังสือพิมพ์แห่งท้องที่อย่างน้อยหนึ่งคราว และต้องมีหนังสือบอกกล่าวไปยังบรรดาผู้ซึ่งบริษัทรู้ว่าเป็นเจ้าหนี้ของบริษัท บอกให้ทราบรายการซึ่งประสงค์จะลดทุนลงและขอให้เจ้าหนี้ผู้มีข้อคัดค้านอย่างหนึ่งอย่างใดในการลดทุนนั้น ส่งคำคัดค้านไปภายในสามสิบวันนับแต่วันที่บอกกล่าวนั้น ถ้าไม่มีผู้ใดคัดค้านภายในกำหนดเวลาสามสิบวัน ก็ให้พึงถือว่าไม่มีการคัดค้าน ถ้าหากมีเจ้าหนี้คัดค้าน บริษัทจะจัดการลดทุนลงไม่ได้ จนกว่าจะได้ใช้หนี้หรือให้ประกันเพื่อหนี้รายนั้นแล้ว

Where a company wishes to reduce its capital, it must publish that intention at least once in a local newspaper and must send notice to every person known to the company to be a creditor of the company, informing them of the proposed reduction and inviting any creditor who objects to send in the objection within thirty days from the date of the notice.
If no objection is made within the thirty days, it is taken that there is no objection. If a creditor objects, the company may not reduce its capital until it has paid the debt or given security for it.
