Si un actionnaire ne procède pas au paiement d'un appel de fonds à la date fixée, les administrateurs peuvent lui adresser une mise en demeure par lettre recommandée avec accusé de réception, l'enjoignant de s'acquitter de cet appel de fonds majoré des intérêts. Cette mise en demeure doit fixer un délai raisonnable pour le paiement, ainsi que le lieu où le paiement doit être effectué. Elle peut également préciser qu'en cas de non-paiement, l'action concernée par l'appel de fonds pourra être confisquée.
