กรรมการต้องจัดให้จดบันทึกรายงานการประชุม และข้อมติทั้งหมดของที่ประชุมผู้ถือหุ้นและของที่ประชุมกรรมการลงไว้ในสมุดโดยถูกต้อง สมุดนี้ให้เก็บรักษาไว้ ณ สำนักงานที่ได้จดทะเบียนของบริษัท บันทึกเช่นนั้นอย่างหนึ่งอย่างใด เมื่อได้ลงลายมือชื่อของผู้เป็นประธานแห่งการประชุมซึ่งได้ลงมติ หรือซึ่งได้ดำเนินการงานประชุมก็ดี หรือได้ลงลายมือชื่อของผู้เป็นประธานแห่งการประชุมถัดจากครั้งนั้นมาก็ดี ท่านให้สันนิษฐานไว้ก่อนว่าเป็นหลักฐานอันถูกต้องแห่งข้อความที่ได้จดบันทึกลงในสมุดนั้น ๆ และให้สันนิษฐานไว้ก่อนว่าการลงมติและการดำเนินของที่ประชุมอันได้จดบันทึกไว้นั้นได้เป็นไปโดยชอบผู้ถือหุ้นคนใดจะขอตรวจดูเอกสารดังกล่าวมาข้างต้นในเวลาใดเวลาหนึ่งระหว่างเวลาทำการงานก็ได้ส่วนที่ ๔การสอบบัญชี

English translation
The directors must cause minutes of all proceedings and resolutions of meetings of shareholders and directors to be duly entered in the books which shall be kept at the registered office of the company. Any such minutes signed by the chairman of the meeting at which such resolution were passed or proceedings had, or by the chairman of the next succeeding meeting, are presumed correct evidence of the matters therein contained, and all resolutions and proceedings of which minutes have been made are presumed to have been duly passed. Any shareholder may at any time during business hours demand inspection of the above documents.
