การชำระบัญชี ให้ทำโดยลำดับดังนี้ คือ(๑) ให้ชำระหนี้ทั้งหลายซึ่งค้างชำระแก่บุคคลภายนอก(๒) ให้ชดใช้เงินทดรองและค่าใช้จ่ายซึ่งผู้เป็นหุ้นส่วนได้ออกของตนไปเพื่อจัดการค้าของห้าง(๓) ให้คืนทุนทรัพย์ซึ่งผู้เป็นหุ้นส่วนแต่ละคนได้ลงเป็นหุ้นถ้ายังมีทรัพย์เหลืออยู่อีกเท่าไร ก็ให้เฉลี่ยแจกเป็นกำไรในระหว่างผู้เป็นหุ้นส่วน

English translation
The liquidation must be made in the following order: (1) Performance of the obligation incurred towards third persons . (2) Reimbursement of advances made and expenses incurred by the partners in managing the business of the partnership. (3) Return of the contributions made by each partners. The balance, if any, must be distributed as profit between the partners.
