ถ้าผู้เป็นหุ้นส่วนคนใดร้องขอเมื่อมีกรณีอย่างใดอย่างหนึ่งดังจะกล่าวต่อไปนี้ ศาลอาจสั่งให้ห้างหุ้นส่วนสามัญเลิกกันเสียก็ได้ คือ(๑) เมื่อผู้เป็นหุ้นส่วนคนใดคนหนึ่งนอกจากผู้ร้องฟ้องนั้น ล่วงละเมิดบทบังคับใด ๆ อันเป็นข้อสาระสำคัญซึ่งสัญญาหุ้นส่วนกำหนดไว้แก่ตน โดยจงใจหรือเลินเล่ออย่างร้ายแรง(๒) เมื่อกิจการของห้างหุ้นส่วนนั้นจะทำไปก็มีแต่ขาดทุนอย่างเดียวและไม่มีหวังว่าจะกลับฟื้นตัวได้อีก(๓) เมื่อมีเหตุอื่นใด ๆ ทำให้ห้างหุ้นส่วนนั้นเหลือวิสัยที่จะดำรงคงอยู่ต่อไปได้

English translation
An ordinary partnership may also be dissolved by the Court on application by a partner in any of the following cases: (1) When a partner, other than the partner suing willfully or by gross negligence violates any essential obligation imposed upon him by the partnership contract. (2) When the business of the partnership can only be carried on at a loss and there is no prospect of its fortunes being retrieved. (3) When there is any other cause making the continuance of the partnership an impossibility.
