ถ้าหากว่าชื่อบริษัทซึ่งตั้งไว้ในหนังสือบริคณห์สนธิพ้องกับชื่อบริษัทอื่นซึ่งได้จดทะเบียนแล้วก็ดี หรือพ้องกับชื่อซึ่งตั้งไว้ในหนังสือบริคณห์สนธิฉบับอื่นอันได้จดทะเบียนแล้วก็ดี หรือคล้ายคลึงกับชื่อเช่นกล่าวนั้นจนน่าจะลวงให้มหาชนหลงไปได้ก็ดี ท่านว่าบุคคลผู้ที่มีส่วนได้เสียคนหนึ่งคนใดจะฟ้องเรียกเอาค่าสินไหมทดแทนแก่ผู้เริ่มก่อการบริษัทก็ได้ และจะร้องขอให้ศาลสั่งบังคับให้เปลี่ยนชื่อนั้นเสียใหม่ก็ได้ เมื่อศาลมีคำสั่งเช่นนั้นแล้ว ก็ต้องบอกชื่อซึ่งเปลี่ยนใหม่นั้นจดลงทะเบียนแทนชื่อเก่า และต้องแก้ใบสำคัญการจดทะเบียนด้วยตามกันไป

Si la dénomination sociale figurant dans les statuts est identique à celle d'une société déjà immatriculée ou à celle figurant dans les statuts immatriculés, ou si elle y ressemble tellement qu'elle est susceptible d'induire le public en erreur, toute personne intéressée peut intenter une action en dommages-intérêts contre les fondateurs de la société et demander au tribunal d'ordonner le changement de dénomination. Une fois cette ordonnance rendue, la nouvelle dénomination doit être enregistrée à la place de l'ancienne et le certificat d'immatriculation doit être modifié en conséquence.
