หุ้นซึ่งโอนกันนั้น ถ้าเป็นหุ้นอันยังมิได้ส่งเงินใช้เต็มจำนวนค่าหุ้น ท่านว่าผู้โอนยังคงต้องรับผิดในจำนวนเงินที่ยังมิได้ส่งใช้ให้ครบถ้วนนั้น แต่ว่า (๑) ผู้โอนไม่ต้องรับผิดในหนี้อันหนึ่งอันใดของบริษัทซึ่งได้ก่อให้เกิดขึ้นภายหลังโอน (๒) ผู้โอนไม่ต้องรับผิดออกส่วนใช้หนี้ เว้นแต่ความปรากฏขึ้นแก่ศาลว่าบรรดาผู้ที่ยังถือหุ้นของบริษัทอยู่นั้นไม่สามารถออกส่วนใช้หนี้อันเขาจะพึงต้องออกใช้นั้นได้ ข้อความรับผิดเช่นว่ามานั้น ท่านห้ามมิให้ฟ้องผู้โอนเมื่อพ้นสองปีนับแต่ได้จดแจ้งการโอนนั้นลงในทะเบียนผู้ถือหุ้น

English translation
The transferor of a share not fully paid up continues to be liable for the full amount unpaid thereon, provided that: (1) No transferor shall be liable in respect to any obligation of the company incurred after the transfer. (2) No transferor shall be liable to continue unless it appears to the Court that the existing shareholders are unable to satisfy the contributions required to be made by them. No action against the transferor for such liability can be entered later than two years after the transfer has been entered in the register of shareholders.
